About the Role
We are seeking an experienced Company Secretary with a minimum of 5 years of expertise in the Indian Forex industry. This role is crucial for managing corporate governance, ensuring regulatory compliance, overseeing board processes, and handling statutory filings in accordance with the Companies Act, FEMA, and RBI regulations.
Reporting to the COO, you will support business operations by ensuring legal compliance, maintaining corporate records, liaising with regulatory authorities, and advising management on governance and compliance matters.
Roles and Responsibilities
- Ensure adherence to the Companies Act, 2013, and other relevant corporate laws.
- Organize and manage Board Meetings, Committee Meetings, Annual General Meetings, and Extra Ordinary General Meetings, including preparing notices, agendas, resolutions, and minutes.
- Manage statutory and annual filings with the Registrar of Companies (ROC), such as AOC-4 XBRL, MGT-7, DIR-3 KYC, PAS-6, MSME-1, ADT-1, SH-7, MGT-14, and MGT-8.
- Ensure compliance with FEMA and RBI regulations pertaining to foreign exchange.
- Maintain statutory registers, corporate records, and compliance documentation.
- Provide guidance to management on corporate governance, legal compliance, and risk management.
- Support statutory audits, internal audits, due diligence, and post-transaction compliance activities.
- Review and manage contracts, Non-Disclosure Agreements, Memorandum of Understandings, leases, and other legal agreements.
- Coordinate with regulatory bodies, auditors, legal advisors, banks, and shareholders.
- Monitor changes in corporate laws and implement necessary compliance updates.
- Ensure Corporate Social Responsibility (CSR) compliance and promote ethical governance practices where applicable.
- Support banking compliance by providing necessary resolutions, declarations, and documentation.
- Assist management and legal teams with corporate and legal matters as needed.
- Prepare and maintain monthly Compliance MIS reports for management review.
Requirements
- Qualified Company Secretary (ICSI Member).
- 5 years of relevant experience in corporate secretarial/compliance roles.
- Strong communication and stakeholder management skills.
- Excellent organizational and multitasking abilities.
- Capacity to independently manage compliance activities with a strong sense of ownership.
- In-depth knowledge of the Companies Act 2013, POSH Act 2013, and Corporate Governance principles.
- Understanding of FEMA regulations relevant to forex compliance.
- Experience in handling statutory and annual filings.
- Proficiency in managing banking compliance and related documentation.
- Exceptional coordination, drafting, and compliance management skills.
- A patient, detail-oriented, and solution-driven approach to work.
