Corporate Associate -- Mergers & Acquisitions Attorney

Locations: New York City, NY

Direct Counsel is seeking a Corporate Associate -- Mergers & Acquisitions to join a sophisticated and growing corporate practice at a highly respected East Coast-based law firm with a national and international platform. This opportunity is ideal for a mid-level associate looking to work on complex transactional matters within a collaborative, entrepreneurial, and team-oriented environment.

The firm represents a diverse client base ranging from emerging companies to Fortune 500 businesses across a broad range of industries. Attorneys in this practice work closely with experienced dealmakers on sophisticated transactions while receiving strong mentorship and meaningful client exposure.

Responsibilities

  • Advise clients on a wide range of corporate transactional matters
  • Handle mergers and acquisitions, including both buy-side and sell-side transactions
  • Assist with private equity transactions, venture debt and equity financings, strategic joint ventures, and capital markets matters
  • Draft, review, and negotiate key transaction documents, including:
    • Asset purchase agreements
    • Stock purchase agreements
    • Merger agreements
    • Operating agreements
    • Disclosure schedules
  • Manage all phases of the transaction lifecycle from term sheet through closing
  • Conduct due diligence and transactional analysis
  • Collaborate with partners, clients, and cross-functional teams on sophisticated business matters
  • Provide practical and strategic legal advice to clients across industries

Qualifications

  • J.D. from an accredited law school with strong academic credentials
  • Admission in good standing in the jurisdiction where the candidate intends to practice
  • 5--7 years of corporate transactional experience with a strong focus on mergers and acquisitions
  • Experience handling sophisticated M&A transactions from inception through closing
  • Strong drafting, negotiation, and analytical skills
  • Excellent writing, communication, and client service abilities
  • Ability to manage complex transactions efficiently and with strong attention to detail
  • Experience working both independently and collaboratively in a fast-paced environment

Compensation & Benefits

  • Base salary range: $200,000 -- $250,000, depending on location, experience, and qualifications
