Job description

Direct Counsel is seeking a Senior Corporate Associate to join a growing and sophisticated transactional practice in Minneapolis. This is an excellent opportunity for an experienced corporate attorney looking to play a significant role in complex deal execution while working closely with clients and senior attorneys on high-value business transactions.

The ideal candidate will have 5--8 years of corporate transactional experience gained in a large law firm environment and a strong background handling mergers and acquisitions, financings, and other strategic corporate transactions.

Responsibilities

  • Lead and support sophisticated corporate transactions from inception through closing
  • Draft, review, and negotiate transaction documents related to mergers and acquisitions, financings, and other strategic business transactions
  • Conduct legal due diligence and manage transaction workstreams
  • Coordinate with clients, opposing counsel, and multidisciplinary deal teams throughout the transaction lifecycle
  • Advise clients on corporate governance, transactional strategy, and risk management considerations
  • Collaborate with partners and attorneys across practice groups to deliver practical and business-focused legal solutions
  • Manage multiple transactions simultaneously while maintaining exceptional client service

Qualifications

  • 5--8 years of corporate transactional experience
  • Significant experience handling mergers and acquisitions, financings, and complex business transactions
  • Large law firm experience preferred
  • Strong drafting, negotiation, analytical, and project management skills
  • Excellent research, writing, and communication abilities
  • Strong academic credentials
  • Ability to manage sophisticated transactions with increasing independence
  • Active Minnesota Bar admission required

Compensation & Benefits

  • Base salary range: $220,000 -- $255,000
  • 4x4 Hybrid Model (in-office Wednesdays plus four additional in-office days per month)
