About The Role
We are seeking a highly skilled Securities Law Attorney to join our dynamic legal team. This role offers an exciting opportunity to advise clients on complex securities regulations, manage high-profile transactions, and ensure compliance with federal and state securities laws. The successful candidate will play a pivotal role in preparing and reviewing registration statements, disclosures, and filings, as well as guiding clients through capital markets transactions such as private placements, public offerings, and mergers. This position is ideal for a proactive professional with a strong background in securities law, looking to work in a collaborative environment that values expertise and innovation. The role offers a hybrid remote work model, providing flexibility while maintaining a strong presence within our firm.
Qualifications
The ideal candidate will possess a Juris Doctor (J.D.) degree from an accredited law school and be licensed to practice law in Florida. A minimum of four years of focused experience in securities law is required, including advising clients on 1934 Act reporting and 1933 Act registered and exempt offerings. Candidates should have a proven track record of managing filings, reports, and transactions independently, with a thorough understanding of SEC reporting, compliance, and related securities regulations. Experience with reverse mergers, venture capital, private equity financings, and exchange uplisting is highly desirable. Excellent analytical, communication, and organizational skills are essential to succeed in this role.
Responsibilities
- Advise clients on federal and state securities law compliance, including preparation and review of registration statements, 10-Ks, 10-Qs, 8-Ks, and proxy statements.
- Handle complex securities transactions such as private placements, public offerings, reverse mergers, and PIPE transactions.
- Guide clients through uplisting procedures and exchange compliance (OTC to NASDAQ/NYSE).
- Provide counsel to issuers, underwriters, and investors involved in capital markets activities.
- Coordinate and facilitate annual and special shareholder meetings, including proxy matters and disclosures.
- Respond to SEC comment letters and manage investigations conducted by SEC and FINRA authorities.
- Oversee and ensure compliance with Regulation D, S, and A+ offerings, including preparing related disclosure documentation.
- Collaborate with the Corporate Department on mergers and acquisitions, as well as other transactional work.
- Maintain up-to-date knowledge of securities laws and regulations to provide strategic advice to clients.
