General Counsel

Location: Remote Type: Full-Time W2 Reports To: Chief Operating Officer Compensation: Up to $200,000 base salary + equity commensurate with experience

We are seeking an experienced and strategic General Counsel to serve as the company's chief legal officer. This is a critical leadership role responsible for managing all legal, compliance, and regulatory matters across the organization. The ideal candidate brings both law firm and in-house experience, with a deep understanding of the healthcare industry — whether on the payer or provider side — and the ability to operate as a true business partner to executive leadership.

Key Responsibilities

Client & Vendor Contracting

  • Draft, negotiate, and manage a wide range of commercial contracts, including client services agreements, vendor contracts, and partnership arrangements.
  • Establish and maintain contract lifecycle management processes to ensure consistency, compliance, and risk mitigation across all business relationships.
  • Serve as a primary legal point of contact for commercial transactions and provide pragmatic guidance to business teams throughout the contracting process.

Regulatory & Compliance

  • Lead the company's regulatory and compliance program, with a particular focus on healthcare laws and regulations applicable to payer and/or provider environments.
  • Monitor evolving regulatory requirements and proactively advise the business on applicable obligations, including HIPAA, state healthcare regulations, and applicable federal laws.
  • Design and implement internal compliance policies, procedures, and training programs to foster a culture of compliance across the organization.

Corporate Governance

  • Manage all aspects of corporate governance, including preparation of board meeting materials, minutes, and resolutions.
  • Act as Corporate Secretary, advising the Board of Directors on governance matters and maintaining corporate records.
  • Oversee investor communications from a legal and governance perspective, ensuring accuracy and regulatory compliance.
  • Supervise and maintain state registrations, foreign qualifications, and corporate entity management.

Intellectual Property

  • Coordinate intellectual property matters with outside counsel, including patent filings, trademark registrations, and IP licensing.
  • Develop and maintain IP protection strategies aligned with the company's product and technology roadmap.
  • Advise internal teams on IP ownership, licensing terms, and confidentiality obligations in commercial agreements.

Business Unit Support

  • Serve as a trusted legal advisor to business units across the organization, including Sales and Human Resources.
  • Partner with the Sales team on deal structures, customer negotiations, and risk review for commercial opportunities.
  • Advise the Human Resources team on employment law matters, employee relations, policy development, and compliance with applicable labor regulations.
  • Collaborate cross-functionally with Finance, Product, and Operations to support strategic initiatives and day-to-day business needs.

Qualifications

  • Juris Doctor (J.D.) from an accredited law school and active bar admission in good standing.
  • 5+ years of legal experience; a combination of law firm and in-house experience is strongly preferred.
  • Healthcare industry experience required, including exposure to payer or provider environments; familiarity with HIPAA, healthcare contracting, and applicable state and federal regulations is essential.
  • Demonstrated expertise in commercial contracting, corporate governance, and regulatory compliance.
  • Experience advising Boards of Directors and serving in a Corporate Secretary capacity is a plus.
  • Proven ability to manage outside counsel relationships effectively and cost-efficiently.
  • Strong business acumen with the ability to translate complex legal issues into practical, actionable guidance.
  • Excellent written and verbal communication skills, with the ability to engage effectively at all levels of the organization.
  • Start-up or high-growth company experience preferred.

Compensation & Benefits

  • Base salary up to $200,000, commensurate with experience.
  • Equity participation commensurate with experience and seniority.
  • Full-time W2 employment.
