Title: Senior Corporate Paralegal Experience: 7+ Years Location: Remote (United States) Hours: 40 Hours / Week Duration: 6 Months (Temp-to-Perm) Pay Rate: $65 - $85 / hr ($130,000 - $170,000 annualized) Benefits: Vision, medical, dental (all 99% covered), 401k

Governance & Public Company Compliance

  • Draft and maintain governance materials, including board and committee resolutions, consents, agendas, organization charts, and minutes.
  • Support the preparation of board and committee meeting materials and coordinate governance calendars and filing deadlines.
  • Coordinate the full lifecycle of the annual shareholder meeting and proxy process, including preparation and distribution of D&O questionnaires, board evaluations, draft resolutions, and meeting logistics.
  • Manage the development and submission of the proxy statement and related SEC filings; compile officer/director bios, beneficial ownership data, stock ownership disclosures, and committee activity reporting.
  • Oversee communications with proxy service providers, transfer agents, and regulatory entities (e.g., Broadridge, AST, CEDE & Co.), including notification letters and record date authorizations.
  • Prepare shareholder meeting materials such as agendas, scripts, voting reports, tellers' documentation, and meeting minutes; coordinate vote tabulation and results reporting.
  • Coordinate and file Form 8-Ks related to annual meeting outcomes and CEO presentations.
  • Prepare and file SEC reports (Forms 3, 4, 5, 10-K, 10-Q, 8-K); monitor Section 16 compliance and insider trading activity.
  • Maintain records of directors and officers in compliance with Nasdaq listing requirements.

Entity Management

  • Oversee the lifecycle of U.S. and international subsidiaries, including formation, restructuring, and dissolution.
  • Prepare and file entity formation documents, DBAs, qualifications, annual reports, and certifications.
  • Coordinate execution, notarization, and legalization of global documents, including apostilles and certified copies.

Transactions & Strategic Projects

  • Support & and financing transactions, including due diligence, closing logistics, and post-closing documentation.
  • Draft corporate documents such as officer certificates, intercompany agreements, and powers of attorney.
  • Maintain data rooms, track legal deliverables, and manage compliance with regulatory requirements.
  • Collaborate cross-functionally on audits, equity actions, and legal aspects of business initiatives.

Legal Operations & Process Optimization

  • Triage and manage incoming corporate legal requests using LawVu; ensure visibility into work streams and key deadlines.
  • Manage legal platforms, including BoardVantage, Traact, and Workiva; maintain accurate databases and entity compliance information.
  • Generate reports on the entity portfolio and legal metrics; provide insights for internal stakeholders.
  • Leverage AI-enabled legal tools to streamline governance workflow and optimize corporate compliance reporting.
  • Oversee registered agent relationships and legal invoicing; contribute to budget planning and vendor coordination.
  • Maintain legal templates, SOPs, trackers, and governance documentation.

Required Qualifications

  • 10+ years of corporate paralegal experience in a public company legal department
  • Bachelor's degree or paralegal certificate from an ABA-approved program.
  • Strong knowledge of corporate governance, SEC compliance, and entity management.
  • Excellent communication skills and sound judgment in handling sensitive matters.

Preferred Qualifications

  • Experience in a high-growth or technology-driven environment.
  • Familiarity with Nasdaq governance standards and board operations.
