The Opportunity
Tenor Legal is partnering with a large, publicly traded industrial and technology company undergoing a significant corporate transformation to place an experienced Corporate Governance / Corporate Secretary Paralegal on a secondment basis.
This role will support a lean legal leadership team — including direct partnership with the General Counsel — during a critical period that includes preparation for a major spin-off transaction resulting in a new public company. The paralegal will play a central role in day-to-day corporate governance execution and board support.
This role requires initiative and adaptability — the right candidate will be comfortable stepping into a dynamic environment with limited existing infrastructure and helping shape processes as they go.
The engagement is expected to begin as a three-month, full-time secondment, with potential for extension. This is a fully remote role (with opportunity to work in one of the company's corporate offices, if desired).
This opportunity is ideal for a seasoned corporate governance paralegal who thrives in a hands-on environment, is energized by ambiguity, and can drive work forward independently.
Key Responsibilities
- Support the General Counsel and legal leadership team on core corporate governance matters
- Manage board and committee logistics, including calendars, materials, and board portals
- Prepare and maintain governance documentation, including straw minutes and committee readouts
- Coordinate D&O questionnaires and support annual governance processes
- Support the proxy statement process, including content coordination, updates, and interaction with outside counsel
- Prepare and file or support filings for Forms 3, 4, and 8-K
- Maintain exhibit lists for Forms 10-K and 10-Q
- Manage insider trading processes, including blackout windows, pre-clearance, and insider lists
- Coordinate board and committee self-evaluations
- Liaise with outside counsel and internal stakeholders across finance and legal
- Support governance workstreams related to the upcoming spin-off transaction, including off-cycle board meetings and approvals
Qualifications & Skills
- 5-10+ years of experience as a corporate governance or corporate secretary paralegal
- Strong experience supporting public company boards and committees
- Hands-on familiarity with SEC filings (Forms 3, 4, 8-K; proxy statements; 10-K/10-Q support)
- Experience managing board portals and governance calendars
- Highly organized, detail-oriented, and proactive working style
- Comfortable working directly with senior legal leadership, including the General Counsel
- Ability to manage periods of increased activity tied to board meetings and transaction milestones
- Comfortable in fast-paced, evolving environments with limited existing infrastructure
- Self-directed; able to drive work forward without close supervision or established workflows
- Prior experience in a lean in-house legal team strongly preferred
Assignment Details
- Start Date: ASAP
- Duration: 3-6 months
- Hours: Full-time (40 hours/week)

Compensation & Benefits
- Salary: $100,000 to $130,000 annualized (depending on experience)
