Executive Summary

We are seeking an experienced Vice President of Healthcare Investment Banking to join our team in a 100% full-time remote role. This position focuses on advising high-growth companies that sell technology, software, and specialized services directly to pharmaceutical and life sciences companies.

As a Vice President, you will play a central leadership role in deal execution, client management, and financial oversight. The ideal candidate brings a strong track record in sell-side M&A, advanced financial modeling capabilities (including SaaS metrics and distribution waterfalls), and deep domain expertise in the pharma tech and services ecosystem.

Key Responsibilities

Deal Execution & Client Advisory

  • M&A Execution: Lead day-to-day transaction processes for sell-side M&A mandates, serving as the primary liaison between client executive teams, potential acquirers, and legal/financial advisors.
  • Process Management: Oversee the preparation of marketing materials, including Confidential Information Memoranda (CIMs), pitch decks, management presentations, and virtual data rooms (VDRs).
  • Deal Structuring & Negotiation: Assist senior leadership in deal negotiations, valuation analysis, purchase agreement reviews, and transaction structuring.

Advanced Financial Modeling & Analytics

  • SaaS & ARR Analytics: Build and analyze complex SaaS financial models, evaluating key software metrics such as Annual Recurring Revenue (ARR), Net Retention Rates (NRR), CAC payback periods, LTV, and churn dynamics.
  • Waterfall Models: Develop and maintain complex equity capitalization and waterfall distribution models to evaluate payout structures under various liquidity scenarios.
  • Valuation: Perform advanced valuation analyses including Discounted Cash Flow (DCF), Leveraged Buyout (LBO), Comparable Public Companies, and Precedent Transactions.

Leadership & Strategic Focus

  • Pharma Market Coverage: Deeply engage with sector verticals serving pharmaceutical companies---including eClinical, Clinical Trial Management (CTMS), Real-World Evidence (RWE), Commercialization Software, Regulatory Tech, and Contract Research/Manufacturing (CRO/CDMO) tech-enabled services.
  • Mentorship: Supervise, train, and develop Associates and Analysts on deal teams, ensuring high standards of analytical rigor and presentation quality.

Candidate Qualifications & Requirements

  • Transaction Experience: Must have successfully closed a minimum of 6 sell-side M&A transactions as an Investment Banking Associate or Vice President.
  • Modeling Expertise: Proven, hands-on mastery of SaaS metric modeling (ARR focus) and complex Waterfall distribution calculations.
  • Domain Expertise: Strong understanding of business models selling software, tech-enabled solutions, or specialized services to the pharmaceutical and life sciences sector.
  • Education: Bachelor's degree in Finance, Economics, Business, or a related field (MBA or advanced degree preferred).
  • Licensing: Active FINRA Series 79 and 63 licenses (or equivalent depending on jurisdiction).
  • Communication: Exceptional written and verbal communication skills with a proven ability to present directly to C-suite executives and Private Equity sponsors.
